These Terms constitute a legally binding agreement between you and Bteabreak Marketing Private Limited (“Loopist,” “we,” “us,” or “our”).
If you do not agree to all of these Terms, you must not access or use the Service. We recommend that you print or save a copy of these Terms for your records.

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Loopist offers the following subscription plans to access premium features of the Service:
For subscriptions purchased through our website, Paddle.com Market Limited acts as the Merchant of Record. Paddle handles all billing, payment processing, tax calculation, and invoicing on our behalf. When you purchase a subscription via the website, your transaction is processed by Paddle and is subject to Paddle's Terms of Service and Paddle's Privacy Policy.
Subscriptions purchased through the Apple App Store or Google Play Store are processed by Apple or Google respectively. These transactions are subject to the terms and policies of the respective app store.
All subscriptions automatically renew at the end of each billing cycle (weekly or annually) unless you cancel your subscription before the renewal date. You will be charged the applicable subscription fee for each renewal period unless you cancel in advance.
We reserve the right to change our subscription prices at any time. Any price changes will apply to the billing cycle following the change and will not affect the current billing period. We will provide reasonable notice of price changes where required by applicable law.
You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period, and you will retain access to the Service until that period expires.
Please note that deleting the app from your device does not cancel your subscription. You must follow the cancellation steps above to stop future billing.

You retain ownership of all content you create or submit through the Service, including your mood journal entries, exercise responses, program progress, and chat conversations with Aria (“User Content”).
By using the Service, you grant us a limited, non-exclusive, royalty-free, worldwide license to use, process, store, and display your User Content solely for the purposes of providing, maintaining, and improving the Service. This license terminates when you delete your User Content or your account, except where retention is necessary for legal compliance or legitimate business purposes.
We do not claim ownership of your User Content, and we will not use it for purposes unrelated to the delivery and improvement of the Service.
Aria is an AI-powered companion. Aria is NOT a licensed therapist, counselor, relationship coach, medical professional, or any other type of certified professional advisor.
All content, suggestions, responses, and guidance provided by Aria and the Loopist Service are for informational and supportive purposes only. They do not constitute professional advice of any kind, including but not limited to medical, psychological, therapeutic, or legal advice.
The Service is not a substitute for professional couples therapy or counseling. If you are experiencing domestic abuse, a mental health crisis, or any situation requiring professional intervention, please contact a qualified professional or emergency services immediately.
You acknowledge and agree that you use the Service and interact with Aria at your own discretion and risk.
All content, features, functionality, software, designs, text, graphics, logos, icons, images, audio, video, and other materials available through the Service (collectively, “Loopist Content”) are the exclusive property of Bteabreak Marketing Private Limited or its licensors and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Loopist Content without our prior written consent, except as permitted by these Terms for your personal, non-commercial use of the Service.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that (a) the Service will function uninterrupted, securely, or be available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your expectations or requirements.
The programs, readings, exercises, and AI-generated content provided through the Service are for general informational and motivational purposes. We make no representations or warranties regarding the accuracy, completeness, or usefulness of any content or its suitability for any particular purpose.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BTEABREAK MARKETING PRIVATE LIMITED, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Bteabreak Marketing Private Limited and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you submit or transmit through the Service.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will update the “Last Updated” date at the top of this page and may notify you through the Service or via email. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
